Introduction
Welcome to Icebox LV ("we," "our," "us," or "Company"). These Terms and Conditions ("Terms") govern your use of our website and the booking of our event venues located in Las Vegas, Nevada. By accessing our website or booking an event space, you agree to be bound by these Terms.
Please read these Terms carefully before using our services. If you do not agree with any part of these Terms, you may not use our website or services.
1. Definitions

"Client" or "You" refers to the individual or entity booking an event space with Icebox LV.

"Event" refers to any gathering, celebration, or function hosted at an Icebox LV venue.

"Venue" refers to any Icebox LV event space location in Las Vegas, Nevada.

"Services" refers to event space rental and any additional services provided by Icebox LV.
2. Booking and Reservations
2.1 Booking Process

All bookings must be made through our website, email, or phone contact.

A booking is not confirmed until you receive written confirmation from Icebox LV.
-
Booking confirmation is subject to venue availability.
2.2 Booking Requirements

You must be at least 18 years of age to book an event space.
-
You must provide accurate contact information and event details.
-
You are responsible for ensuring all information provided is current and correct.
2.3 Deposit and Payment
-
A non-refundable deposit is required to secure your booking (amount to be specified at time of booking).
-
The deposit will be applied to your total event cost.
-
Full payment is due [14 days before event date] unless otherwise agreed in writing.
-
Accepted payment methods include [credit card, debit card, bank transfer, Zelle or Cash etc.].

All prices are in USD and subject to applicable taxes.
2.4 Event Details

You must provide final guest count, setup requirements, and vendor information at least [7-14 days] before your event.

Changes to event details must be communicated in writing and are subject to availability and approval.
3. Cancellation and Refund Policy
3.1 Cancellation by Client

Cancellations Made More Than 30 Days Before the Event: 50% of payments received, excluding the non-refundable deposit, will be refunded. Custom décor items, if ordered, will be deducted from the refund.

Cancellations Made 30 Days or Less Before the Event: No refunds will be provided for payments received. The agreement to rent the room may cause loss of other bookings or business.

Venue-Initiated Cancellations: If circumstances beyond the Venue’s control require the event to be canceled, all payments received will be refunded.

Non-Payment: If the full rental payment is not received 14 days before the event, the Venue reserves the right to cancel the reservation without refunding any payments made.
3.2 Cancellation by Icebox LV

We reserve the right to cancel a booking due to unforeseen circumstances (e.g., facility damage, force majeure).

In the event we cancel, you will receive a full refund of all payments made.

We are not liable for any additional costs incurred (e.g., vendors, travel arrangements).
3.3 Rescheduling
-
Requests to reschedule must be made in writing at least 30 days before the original event date.
-
Rescheduling is subject to venue availability and may incur additional fees.
-
One reschedule is permitted; subsequent changes may result in forfeiture of deposit.
4. Event Rules and Regulations
4.1 Venue Capacity

You agree not to exceed the maximum occupancy limit for your chosen venue.
-
Icebox LV reserves the right to end an event if capacity limits are violated.
4.2 Prohibited Activities
The following activities are strictly prohibited at all Icebox LV venues:

Illegal drug use or possession

Underage drinking (all guests must comply with Nevada drinking age laws)

Violence, fighting, or threatening behavior
-
Smoking indoors (unless designated smoking areas are provided)
-
Damage to property or venue facilities
-
Excessive noise that violates local ordinances
4.3 Alcohol Service

If alcohol is served, you must comply with all Nevada alcohol laws and regulations.

You are responsible for ensuring guests do not drink and drive.
-
We reserve the right to stop alcohol service or end an event if guests become disorderly.
-
Professional bartending services may be required (as specified in your contract).
4.4 Vendors

You may use outside vendors (caterers, DJs, photographers, etc.) subject to our approval.

All vendors must provide proof of liability insurance.
-
Vendors must comply with venue rules and setup/breakdown timelines.
4.5 Decorations and Setup
-
All decorations must be approved by Icebox LV prior to installation.
-
No permanent alterations, nails, screws, or tape that damages walls or surfaces.
-
Confetti, glitter, and open flames may be restricted (check with venue coordinator).
-
You are responsible for setup and removal of all personal items and decorations.
5. Liability and Indemnification
5.1 Client Responsibility

You are responsible for the conduct and safety of all guests and vendors during your event.
-
You agree to supervise your event and ensure compliance with these Terms.
5.2 Property Damage

You are financially responsible for any damage to the venue, furnishings, or equipment caused by you, your guests, or your vendors.
-
Damage costs will be deducted from your security deposit or billed separately.
5.3 Personal Injury
-
Icebox LV is not liable for injuries, accidents, or losses suffered by you, your guests, or vendors during your event.

You agree to assume all risk associated with hosting an event.
5.4 Lost or Stolen Property

Icebox LV is not responsible for lost, stolen, or damaged personal property belonging to you, your guests, or vendors.

You are encouraged to secure valuables and use vendors with appropriate insurance.
5.5 Indemnification

You agree to indemnify, defend, and hold harmless Icebox LV, its owners, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your event or breach of these Terms.
6. Insurance Requirements
6.1 Event Liability Insurance

You may be required to obtain event liability insurance covering your event.

Proof of insurance must be provided [5 days] before the event date.

Insurance must name Icebox LV as an additional insured party.
7. Force Majeure
Icebox LV is not liable for failure to perform obligations due to circumstances beyond our reasonable control, including but not limited to:

Natural disasters (earthquakes, floods, fires)

Pandemics or public health emergencies
-
Government orders or restrictions
-
Utility failures or infrastructure damage
-
Acts of terrorism or civil unrest
In such cases, we will work with you to reschedule or provide alternative solutions, but we are not obligated to provide refunds.
8. Photography and Media Release

Icebox LV may photograph or video record events for marketing and promotional purposes.

By booking with us, you grant permission for your event to be photographed and used in our marketing materials (website, social media, etc.).

If you do not wish to be photographed, you must notify us in writing before your event.
9. Intellectual Property
All content on the Icebox LV website, including text, images, logos, graphics, and videos, is the property of Icebox LV and protected by copyright and trademark laws. You may not use, reproduce, or distribute our content without written permission.
10. Website Use and User Conduct
10.1 Acceptable Use
You agree not to:

Use our website for unlawful purposes

Transmit viruses, malware, or harmful code

Attempt to gain unauthorized access to our systems

Harass, abuse, or harm other users or our staff
10.2 Links to Third-Party Sites
Our website may contain links to third-party websites. We are not responsible for the content or practices of external sites.
11. Privacy and Data Protection
Your use of our website and services is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.
12. Limitation of Liability
To the fullest extent permitted by law:

Icebox LV's total liability for any claim related to your booking or event shall not exceed the amount you paid for the venue rental.

We are not liable for indirect, incidental, consequential, or punitive damages.

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles.
13.2 Jurisdiction
Any disputes arising from these Terms or your use of our services shall be resolved in the courts of Clark County, Nevada.
13.3 Arbitration (Optional)
The parties may agree to resolve disputes through binding arbitration rather than court litigation.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16. Entire Agreement
These Terms, along with your booking contract and our Privacy Policy, constitute the entire agreement between you and Icebox LV regarding your use of our services.
